Magnolia Oil & Gas (NYSE: MGY) priced its previously announced underwritten public offering of 46.3 million shares of Class A common stock at $23.75 per share, raising approximately $1.1 billion before expenses. The company also granted underwriters a 30-day option to purchase up to an additional 6.9 million shares.

Magnolia said it will use the net proceeds, together with proceeds from a concurrent senior notes offering, borrowings under its revolving credit facility and cash on hand, to fund the cash portion of its pending acquisition of WildFire Intermediate Holdings LLC. The offering is expected to close on July 22, 2026, subject to customary closing conditions.
